July 2nd, 2021 – <\/em>Black Diamond Capital Management, L.L.C. has announced that Speciality Chemicals International Limited has agreed to repurchase Investindustrial\u2019s shares in the of Polynt-Reichhold Group and following the completion of the transaction, Black Diamond will become the Group\u2019s controlling shareholder.<\/strong><\/p>\n

Black Diamond Capital Management, L.L.C. (\u201cBlack Diamond\u201d) is pleased to announce a transaction involving one of its portfolio companies, Speciality Chemicals International Limited, a holding company of the Polynt-Reichhold group (the \u201cCompany\u201d) in which the Company agreed to repurchase Investindustrial\u2019s shares in the Company (the \u201cTransaction\u201d). Following the completion of the Transaction, Black Diamond will become the Company\u2019s controlling shareholder.<\/p>\n

Black Diamond and Investindustrial became partners in Polynt-Reichhold after the successful merger of Polynt and Reichhold in May 2017. In the years following the merger, the combined company\u2019s performance has substantially improved. The Transaction, together with the refinancing of the existing debt, will be financed by approximately \u20ac1.3 billion (equivalent) of new senior secured and unsecured debt facilities expected to be issued by the Company in the public debt capital markets. Affiliates of JP Morgan and certain funds managed by affiliates of Apollo Capital Management, L.P., have provided a commitment for the debt financing and funds managed by Black Diamond have provided an equity commitment.<\/p>\n

\u201cWe are extremely pleased with what management has been able to achieve with Polynt-Reichhold thus far and are looking forward to supporting them for the next phase of growth,\u201d said Steve Deckoff, Black Diamond\u2019s Managing Principal.<\/p>\n

The Transaction is expected to close within six months from the date hereof, subject to receiving all necessary regulatory approvals.<\/p>\n

Morgan Stanley & Co. International plc is acting as the Company\u2019s exclusive financial advisor and Skadden, Arps, Slate, Meagher & Flom LLP is acting as the Company\u2019s legal advisor. Slaughter and May and Chiomenti Studio Legale are acting as legal advisors to Global Chemicals S.\u00e0 r.l., an independently-managed investment subsidiary of Investindustrial V L.P. Morgan Lewis is acting as legal advisor to Black Diamond.<\/p>\n
